- Independent Advocacy: We act exclusively in the financial interest of our clients. We do not accept supplier kickbacks, referral commissions, or hidden vendor incentives.
2. Client Obligations & Data Accuracy
To allow Waystone Consulting LLC to perform comprehensive sourcing diagnostics, clients must provide accurate, current, and complete operational data. This includes, but is not limited to:
- Historical and projected annual sourcing volumes.
- Current supplier agreements, manufacturer contracts, and unit price break sheets.
- Verified freight lane variables, logistics metrics, and 3PL fulfillment expenses.
We are not liable for unoptimized margins, failed negotiations, or project delays resulting from inaccurate, falsified, or incomplete information provided by the client.
3. Intellectual Property Rights
Unless otherwise indicated, the website, its original layout, copywriting, graphical metrics, custom code blocks, and all software, workflows, and dashboard tools developed during the execution of our Services are the proprietary property of Waystone Consulting LLC.
Clients are granted a limited, non-exclusive, non-transferable license to utilize the custom automated workflows and supplier networks introduced during the engagement solely for their internal business operations. You may not sell, replicate, redistribute, or publicly disclose our private manufacturing networks or custom procurement frameworks to external third parties without express written consent.
4. Financial Performance & Savings Benchmarks
Any case studies, savings tables, or operational metrics displayed on our website or marketing collateral reflect past performance and specific data patterns achieved across baseline client engagements.
- No Financial Guarantees: Sourcing optimizations, structural gross margin points, and freight cost reductions vary heavily depending on category mix, global supply chain factors, and product velocity. Waystone Consulting LLC makes no absolute guarantee of specific, explicit profit metrics or mathematical cost reductions.
- Landed Cost Variables: Final per-unit logistics numbers depend entirely on market dynamics, carrier availability, and global freight lane pricing adjustments.
5. Confidentiality & Non-Disclosure
Both parties acknowledge that during the course of using the website or engaging in our Services, confidential corporate metadata may be shared. Waystone Consulting LLC agrees to hold all proprietary SKU structures, supply chain costs, and financial volumes in strict confidence, as outlined in our Privacy Policy.
Likewise, the client agrees to keep all negotiation frameworks, private supplier relationships, and operational templates introduced by Waystone Consulting LLC strictly confidential.
6. Third-Party Integrations & Sourcing Actions
Our Services frequently involve connecting your systems to third-party providers, including logistics carriers, manufacturers, buying groups, and e-commerce platforms (such as Shopify integrations).
- We do not control, own, or operate these independent third-party entities.
- We are not responsible or legally liable for factory performance defects, shipping lane delays, sudden tariff fluctuations, inventory stockouts, or technical downtime caused by third-party platforms or manufacturers.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Waystone Consulting LLC, its operators, employees, or partners shall not be held liable for any indirect, incidental, special, consequential, or punitive damages.
